IBM is acquiring Dallas-based Cognitus, a longtime SAP services provider with deep roots in regulated industries.
Terms of the deal were not disclosed, but IBM said the move strengthens its global consulting portfolio—particularly in SAP S/4HANA services, where Cognitus specializes in end-to-end transformation projects and application maintenance.
Founded in 2002, Cognitus offers AI-enabled, industry-specific solutions and holds SAP Gold and Co-Innovation Partner status. The company has been recognized for pioneering services that help enterprise clients move to the cloud, manage compliance, and enable data-driven growth.
“Becoming part of IBM enables Cognitus to amplify what we do best—accelerating SAP transformation through innovation,” Cognitus CEO Pat Sathi said in a statement.
Cognitus’ portfolio includes proprietary, SAP-endorsed software products that will now fold into IBM’s offerings. These include tools for government contracting, contract lifecycle management, data migration, and real-time billing—all designed to improve speed, compliance, and decision-making across large-scale SAP implementations.
IBM said Cognitus brings valuable capabilities in both RISE with SAP and GROW with SAP, and that its proprietary tools support the company’s “asset-based” approach to digital transformation—pairing services with software to drive faster outcomes.
“Cognitus brings deep industry expertise and proprietary AI technology that improves the efficiency of SAP implementations,” said Neil Dhar, managing partner of IBM Consulting Americas. He added that clients are increasingly looking for partners who understand their industries and can deliver AI-powered enterprise tools.
IBM said the acquisition supports its broader consulting strategy, which includes investments in strategic partnerships with companies like SAP, AWS, Microsoft, Oracle, and Palo Alto Networks.
“With IBM, we’ll be able to accelerate software innovation, enhance our portfolio, and expand these capabilities to serve an even broader global customer base,” Cognitus Managing Director Nitin Khanna and President Amit Baid said in a joint statement.
