Pogue Construction Becomes a 100% Employee-Owned Company

Built Together. Owned Together.

Pogue Construction, one of Texas’ leading community-focused builders, announced today that it has transitioned to a 100% employee-owned structure through an Employee Stock Ownership Plan (ESOP), effective December 1, 2025. The move marks a historic milestone for the 45-year-old company and reflects Pogue’s long-standing commitment to its people, values, and mission.

Ben Pogue, Chairman and CEO

“For decades, Pogue Construction has been defined by the strength of its people and the Core Values that guide how we work, treat others, and serve our communities,” said Ben Pogue, Chairman and CEO. “This transition is more than a change in structure. It is our way of saying thank you. Our employees have always been our greatest strength, and it only feels right that they are now directly part of the future they have worked so hard to build.”

A Decision Rooted in Appreciation and Long-Term Stability

The ESOP formalizes the company’s “Powered by People” philosophy, aligning with its faith-driven culture, emphasizing dignity, stewardship, and shared success. Each qualifying employee now becomes a company owner, ensuring long-term stability, continuity, and shared prosperity.

“Becoming employee-owned is the most natural next step for Pogue Construction,” Pogue added. “Our focus has never changed. The most important thing we ever do is hire, retain, and develop the right people. This transition only magnifies those priorities.”

Pogue Construction’s executive leadership team remains in place, and day-to-day operations will continue uninterrupted.

A Landmark Year of Growth and Recognition

The transition comes during one of the strongest years in the company’s history:

  • 2025 revenue projected to exceed $1.5 billion
  • Ranked #152 on ENR’s Top 400 Contractors
  • Ranked #2 General Contractor in North Texas by the Dallas Business Journal
  • Ranked #3 Best Place to Work in DFW among companies with more than 250 employees

These achievements reflect a culture of teamwork, trust, and purpose values that will carry forward under the ESOP structure.

Building a Legacy for Future Generations

As Pogue Construction moves into its next chapter, its mission remains unchanged: to be the most people-focused community builder in Texas. The ESOP will deepen that mission by ensuring that the individuals who deliver the company’s work every day also share in the company’s long-term success.

“This is a defining moment for our company,” said Pogue. “Our employees don’t just move projects forward, they move their own futures forward. Together, we are building a foundation that future generations will stand on.”
